Terms of Service

By accessing or using Unyform’s services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our services. These terms constitute a legally binding agreement between you and Unyform, Inc.

We may update these terms from time to time. Your continued use of our platform after any changes constitutes acceptance of the revised terms. We encourage you to review this page periodically for the latest information on our terms of service.

If you are using Unyform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. In such cases, “you” and “your” refer to that organization.

Unyform provides an enterprise AI governance platform including an AI gateway proxy, policy engine, audit logging, and related developer tools (collectively, the “Service”). The Service allows organizations to route, monitor, and enforce policies on AI model requests across multiple providers.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of significant changes that may affect your use of the platform. Planned maintenance windows will be communicated in advance whenever possible.

The Service is provided on a subscription basis as described in our pricing page. Different subscription tiers offer varying levels of access, features, and usage limits. Feature availability may vary by plan and is subject to change.

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized access to or use of your account. Unyform will not be liable for any loss or damage arising from your failure to protect your account credentials. We recommend enabling multi-factor authentication (MFA) for enhanced security.

You may not share your account with others, create multiple accounts for the same person, or transfer your account to another party without our prior written consent. We reserve the right to suspend or terminate accounts that violate these requirements.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. You are responsible for ensuring that your use of AI models through our gateway complies with the respective model providers’ terms of service.

You may not: (a) reverse engineer, decompile, or disassemble any part of the Service; (b) use automated tools to scrape, crawl, or extract data from the Service beyond normal API usage; (c) attempt to gain unauthorized access to any systems or networks connected to the Service; (d) interfere with or disrupt the integrity or performance of the Service; or (e) use the Service to develop a competing product.

We may investigate violations of these terms and may take any action we deem appropriate, including suspending or terminating your access to the Service, reporting illegal activity to law enforcement, or pursuing legal remedies.

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are quoted in U.S. Dollars and are non-refundable except as expressly set forth in these Terms. You are responsible for all applicable taxes.

We accept payment via major credit cards, debit cards, and other methods as displayed at checkout. Payment processing is handled securely through Stripe. If your payment method fails, we will attempt to charge it again and may suspend your access to paid features after a grace period of 7 days.

We may change our prices with at least 30 days’ prior notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel your subscription before the change takes effect. Refunds for annual plans may be issued on a pro-rata basis at our sole discretion within 30 days of purchase.

The Service, including all software, designs, text, graphics, and other content provided by Unyform, is owned by Unyform, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

You retain all rights to the content, data, and configurations you create or upload through the Service (“Your Content”). By using the Service, you grant Unyform a limited, non-exclusive license to process Your Content solely for the purpose of providing and improving the Service. We will not use Your Content for any other purpose without your explicit consent.

Any feedback, suggestions, or ideas you provide about the Service may be used by Unyform without any obligation to you. You acknowledge that Unyform may develop features or functionality similar to your suggestions independently.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. UNYFORM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNYFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF UNYFORM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL UNYFORM’S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO UNYFORM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting support. Unyform may suspend or terminate your access if you violate these Terms or for any other reason with 30 days’ notice, except in cases of material breach where immediate termination may be necessary.

Upon termination, you will have a 30-day data export period during which you may download your data, configurations, and audit logs. After this period, we may delete your data in accordance with our data retention policies. Certain provisions of these Terms shall survive termination, including intellectual property, limitation of liability, and governing law.

If Unyform terminates your account without cause, we will provide a pro-rata refund for any prepaid fees covering the unused portion of your subscription. Termination for cause (e.g., violation of acceptable use) does not entitle you to a refund.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

Any dispute that cannot be resolved through informal negotiation shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator’s decision shall be final and binding. Each party shall bear its own costs and attorneys’ fees.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Class action lawsuits and class-wide arbitrations are not permitted under this agreement.

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days’ notice via email or through a prominent notice on the Service before the changes take effect. Non-material changes may be made without prior notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account in accordance with the termination provisions above.

We will maintain an archive of previous versions of these Terms and make them available upon request. The “Last updated” date at the top of this page indicates when these Terms were most recently revised.
